Data Processing Agreement

This Data Processing Agreement (“Agreement”) forms part of the Terms of Service between you (“Client”, “you”) and Solvera (“Processor”, “we”, “us”), and reflects the parties’ agreement with respect to the Processing of Personal Data in accordance with applicable data protection laws, including the General Data Protection Regulation (EU) 2016/679 (“GDPR”).

1. Subject Matter

This Agreement governs the processing of Personal Data by Solvera on behalf of the Client in connection with the services provided under the Terms of Service.

2. Roles of the Parties

  • The Client is the data controller.
  • Solvera is the data processor.

3. Nature and Purpose of Processing

Solvera processes Personal Data to:

  • Manage advertising campaigns on behalf of the Client.
  • Provide campaign reporting and performance insights.
  • Improve and support Solvera’s AI optimization features.

4. Types of Personal Data

  • Contact details (e.g. email address)
  • Google Ads account identifiers
  • Campaign metadata

5. Data Subjects

  • Users who authorize access to their Google Ads accounts.
  • Individuals involved in the Client’s advertising campaigns.

6. Duration

The Agreement remains valid for as long as Solvera processes Personal Data on behalf of the Client.

7. Processor Obligations

Solvera agrees to:

  • Process Personal Data only on documented instructions from the Client.
  • Ensure confidentiality and security of Personal Data.
  • Assist the Client in fulfilling their data protection obligations.
  • Delete or return all Personal Data upon termination of services.

8. Security Measures

Solvera implements appropriate technical and organizational measures including, but not limited to:

  • Encryption of data in transit and at rest.
  • Access control and authentication.
  • Regular security audits.

9. Subprocessors

Solvera may engage subprocessors. A list of subprocessors can be provided upon request. Solvera ensures that subprocessors are bound by data protection obligations no less stringent than this Agreement.

10. Data Subject Rights

Solvera shall promptly notify the Client of any data subject requests and assist, to the extent possible, in responding to such requests.

11. International Transfers

If Personal Data is transferred outside the EEA, Solvera ensures that such transfers are made in accordance with GDPR requirements (e.g. via standard contractual clauses).

12. Liability and Indemnity

Each party shall be liable for its own obligations under this Agreement in accordance with applicable law.
